The present document governs the Terms and Conditions of Sale (the “Terms and Conditions”) related to orders, purchases of products, and information sharing between Orogami di Orciuolo Tiziana, with registered office at Via del Duomo 14/16, Orvieto (Italy), Phone +39 0763344206, email customercare@orogami.com and orogami@orogami.com, VAT number 00682030556 (“OROGAMI” or “Company”) and the Customer (“You” or “Your”) who intends to order and purchase products through the website www.orogami.com (the “Site”).

The use of the Site for ordering or purchasing products implies Your acceptance of these Terms and Conditions and the Privacy Policy, available at the address https://www.orogami.com/it/privacy-policy/?v=cd32106bcb6d, hereby fully referenced, as well as any other notices that may be published on the Site at the time an order is placed, and all applicable laws and regulations. These Terms and Conditions provide information about who we are, how to purchase products on the Site, how to cancel an order, what to do in case of issues, and other important information. Orogami may modify, at any time and without notice, the content of the General Terms and Conditions, provided that the General Terms and Conditions published on the Site at the time the purchase order is sent by the Customer will apply to already concluded Purchase Contracts.

Please carefully review the following Terms and Conditions before placing an order through the Site. If you do not agree with the conditions described in these Terms and Conditions, the Terms of Use, or the Privacy Policy, we kindly ask you not to place orders through the Site.

ACCEPTANCE OF GENERAL SALES CONDITIONS

All purchases of products made through the Site (hereinafter, the Purchase Contracts) by users accessing it (hereinafter, the Customers) are governed by these General Terms and Conditions as well as by the Consumer Code (Legislative Decree No. 206/2005), section II Distance Contracts (Articles 50-67), and by the rules on electronic commerce (Legislative Decree No. 70/2003).

PRODUCTS

The website www.orogami.com is an online platform for the sale of products (hereinafter, Products).

All Products offered are thoroughly described on the Site, where a card containing all the necessary information is provided along with the description.

OROGAMI makes every effort to ensure that the color, design, and style of OROGAMI products depicted on the Site are representative of the original products. However, the appearance of the original product may slightly differ from what is depicted on the Site for technical reasons or other reasons. OROGAMI, to the extent permitted by law, shall not be responsible for any errors or inaccuracies in the photographs or graphic representations of OROGAMI products displayed on the Site, except as provided in these General Terms and Conditions.

PURCHASING PROCEDURE

To place orders on the Site, you must be of legal age and have legal capacity. You may place the order through the Site and make payment for the selected product/s, following the instructions provided on the Site itself. The publication of the Products displayed on the Site constitutes an invitation to the Customer to make a contractual purchase proposal. Once the order is placed, OROGAMI will confirm receipt with the sending of an automatic message. This receipt confirmation does not represent acceptance by OROGAMI. Each order is subject to express acceptance by OROGAMI, and OROGAMI reserves the right to cancel an order even after the receipt confirmation has been sent. The order submitted by the Customer constitutes a contractual proposal and implies full knowledge and acceptance of these General Conditions.

OROGAMI’s acceptance of the order will be confirmed by sending an email. You may cancel an order at any time until OROGAMI sends the Order Confirmation. Once accepted by OROGAMI through the Order Confirmation, the order cannot be modified or canceled, unless otherwise provided in these General Conditions or by law. This confirmation message will indicate an Order Number, to be used in all subsequent communications with the Company. The message will also include, in addition to the mandatory information by Law, all data entered by the Customer, who undertakes to verify their correctness and promptly communicate any corrections. Any additional expenses resulting from errors in the data not reported promptly will be borne solely by the Customer. OROGAMI also reserves the right to verbally confirm orders. The contract between You and OROGAMI is concluded only upon the sending of the Order Confirmation and concerns only the products whose shipment has been confirmed. OROGAMI keeps records of transactions with its customers. You are invited to download these General Conditions and the Order Confirmation. In case of a dispute regarding an order placed on the Site, the data stored by OROGAMI will constitute proof of the transaction.

OROGAMI will send the Customer the Shipping Confirmation when the Products are delivered to the courier appointed for shipment, along with the issuance of the invoice or fiscal receipt. Orders can only be placed for personal use, excluding any commercial purpose. Before acceptance, OROGAMI reserves the right to cancel any order without the Customer being able to make any claims or rights of any kind, including compensation, for valid reasons such as, but not limited to, if: (a) You have been involved in a dispute with OROGAMI regarding a previous order; (b) OROGAMI has reasonable grounds to suspect that You have violated these General Conditions, have not made payment for the products purchased by the due date; (c) You are involved in fraudulent activities or grey market activities (i.e. resale of products through channels not belonging to OROGAMI’s authorized sales network or its affiliates); (d) You refuse to provide information that OROGAMI is required to collect by law; (e) OROGAMI deems the cancellation of the order necessary according to the law; (f) OROGAMI has the right to cancel an order under these General Conditions. In case OROGAMI cancels an order, it will refund any payment previously made.

PRODUCT PRICES AND SHIPPING COSTS

OROGAMI product prices are indicated in Euro and include all applicable taxes. Prices for products displayed outside the European Community are shown in Euro and do not include taxes. If the shipment is destined for a country outside the European Community, the prices will remain unchanged and will be tax-exempt. However, if the shipment is to Italy or another country within the European Community, the relevant additional taxes will apply. Shipping costs are excluded and are the responsibility of the Customer. OROGAMI reserves the right to change the prices of products displayed on the Site at any time and without prior notice. You will be charged the price displayed on the Site at the time the order is submitted by You. You will also be responsible for the costs incurred in using the distance communication means used to submit the order (such as telephone and internet connection fees). For each order placed through the Site, you must make payment at the time of placing the order. The amount of the ordered products will be reserved on Your credit card but will only be charged upon the sending of the Order Confirmation by OROGAMI.

AVAILABILITY

The display of a product on the Website does not necessarily imply its availability for online purchase. OROGAMI reserves the right to change the assortment of products available on the Website without prior notice. We shall not be liable in the event that a product is sold out or no longer available. If, after the order receipt confirmation, the product you selected is no longer available, OROGAMI’s customer service or your sales consultant will contact you via phone, email, or other agreed-upon means of communication as soon as possible. You will then have the option to choose another product or cancel your order. If your order includes multiple products, customer service or your sales consultant will inform you via phone or email about the part of the order still available and assist you in deciding whether to cancel the entire order or modify it. In any case, you will only be charged for the part of the order that is still available and that you wish to purchase. If you choose to replace the unavailable item, a new order will be created for the alternative product you have chosen.

RETENTION OF OWNERSHIP AND TRANSFER OF RISK

The product shall remain the property of OROGAMI until the full payment of the entire amount. The products ordered shall remain the responsibility of OROGAMI until delivery to the insured courier appointed for shipment. Upon receipt of the products, you accept and assume all risks related to the products (including loss, theft, or damage).

DELIVERY AND INVOICING METHODS

The Company – unless otherwise agreed with the Customer – delivers via courier and delivery will take place without an appointment. The Company issues an invoice or fiscal receipt for the Products purchased when the Products are delivered to the courier for shipment and therefore enclosed with the package to be delivered. The information provided by the Customer shall be binding for the issuance of the invoice. No changes to the data will be possible after the issuance of the invoice itself. No responsibility, in any capacity, can be attributed by the Customer to the Company in case of delay in processing the order or in the delivery of the Products subject to the Purchase Contracts.

The ordered Products will be sent to the postal address specified by the Customer. Deliveries will be made from Monday to Friday, during normal office hours, excluding national holidays. Delivery will be deemed completed at the moment the Product is made available to the Customer at the address specified in the order form.

At the time of delivery of the Products by the courier appointed by the Company, the Customer is required to carefully check: a) that the packaging is not damaged or otherwise altered; b) that the number of pieces delivered corresponds to what is indicated in the transport document. Any damage to the packaging and the Products or the discrepancy in the number of pieces/packages or indications must be immediately reported by the Customer, who may contact the Company using the above-mentioned contact details, specifying the order for which such discrepancies have occurred.

Cases of force majeure, unavailability of means of transport, as well as unforeseeable or unavoidable events causing a delay in deliveries or making deliveries difficult or impossible, or causing a significant increase in delivery costs borne by the Company, shall entitle the Company to split, postpone, or cancel, in whole or in part, the scheduled delivery, or to terminate the Purchase Contract. In such cases, it shall be the responsibility of the Company to provide prompt and adequate communication of its determinations to the email address provided by the Customer, and the latter shall be entitled to the refund of any price already paid, excluding any further claim, for any reason, against the Company.

For available products, shipping will take place within 48/72 working hours from the date of order confirmation. For products available on backorder, shipment is estimated within 3 weeks from the order confirmation by OROGAMI. All shipments are insured, and shipping rates are calculated based on the total order and the destination country.

The merchandise will be shipped to the Customer following notification from the bank or upon receipt of the bank transfer confirmation (C.R.O number) sent by the customer via email to orogami@orogami.com.

RIGHT OF WITHDRAWAL

Purchases made on the Website are governed by these General Conditions as well as by the Italian law on mail order and distance selling. Please note that we do not accept substitutions, returns, or refunds for orders that include engravings or any type of customization, including the production of custom-sized rings (‘available on backorder’ on the product page).

In accordance with Article 64 et seq. of Legislative Decree no. 206/2005 (Consumer Code), the consumer Customer (i.e., a natural person who purchases the goods for purposes not related to their own professional activity, or without indicating a VAT number) has the right to withdraw from the purchase contract for any reason and without providing explanations, under the following conditions:

The Customer must send, within 14 (fourteen) working days from the date of receipt of the goods, a communication containing a clear indication of the intention to withdraw; the burden of proof of compliance with the terms is on the Customer, therefore it is suggested to use a registered letter with acknowledgment of receipt, or other equivalent form; The substantial integrity of the returned item is an essential condition for exercising the right of withdrawal; Once the integrity of the returned Product is verified, the Company will refund to the Customer the entire amount paid for the Products covered by the Purchase Contract subject to withdrawal, within and not later than 14 (fourteen) days from the return of the same Products. The Company will refund the entire value of the order, or part of it if the withdrawal is partial, by bank transfer, or by other methods specifically agreed between the Company and the Customer.

Please note that in accordance with current regulations, the Company will only refund to the Customer the sums paid by the latter as the price of the Products. In the event of a return, all expenses necessary for the return of the products to the Company will be borne by the Customer, including inbound and outbound shipping costs, as well as any customs duties.

NON-CONFORMITY OF PRODUCTS AND DEFECTIVE PRODUCTS

The products offered on the Website comply with the current national and European legislation in Italy. The Company guarantees that the products are free from defects and manufacturing flaws.

In the event of a lack of conformity of the purchased Products with respect to the description published on the Website and in the case of defective Products, the Customer must immediately send the Product to the Company for the necessary checks. Within 8 days of receiving the goods, the Company will send its considerations via email regarding what the Customer has reported; if the non-conformity or defectiveness of the Product is confirmed, the Customer will be entitled exclusively to a refund or replacement of the item. The Company will then communicate the refund method, excluding any further liability, for any reason. However, replacement or refund is excluded if tampering or modification of the Product by the Customer or anyone else is found.

DISCLAIMER AND PRODUCT WARRANTY

The products provided by the Company are exclusively intended for the specific purpose for which they are advertised on the Website. Therefore, the Company is not responsible for any consequences resulting from the use of the Products for a different purpose.

PERSONAL DATA PROCESSING

Customer data is processed by OROGAMI in accordance with the provisions outlined in the dedicated privacy policy.

INTELLECTUAL PROPERTY RIGHTS

All trademarks (registered and unregistered), as well as any intellectual property, distinctive sign or name, image, photograph, written or graphic text, and more generally any other intangible asset protected by laws and international conventions on intellectual and industrial property, reproduced on the Website remain the exclusive property of the Company and/or its licensors, without the access to the Website and/or the Conclusion of the Purchase Contracts giving the Customer any rights over them. Any use, even partial, of the same is prohibited without the prior written authorization of the Company and/or its licensors, for whom all related rights are exclusively reserved.

APPLICABLE LAW AND JURISDICTION

These General Terms and Conditions, their interpretation and execution, including transactions carried out through the Website, are governed by Italian law, excluding conflict of law rules and in any case the rules of private international law.

This Contract is governed by the laws of the Italian Republic.

For any dispute arising out of or relating to this Contract or its execution, the exclusive jurisdiction shall be the Court of Terni, the province where the Company is headquartered.
